1. Acceptance of Terms

By accessing shadowpanel.de (the "Site"), creating an account, downloading ShadowPanel software, or activating a license key, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or the software.

These Terms form a legal agreement between you (an individual or the legal entity you represent, "you") and ShadowPanel ("we," "us," or "our"). If you are accepting on behalf of an organisation, you represent that you have the authority to bind that organisation.

2. Description of Service

ShadowPanel is self-hosted software. We distribute installable releases that you run on your own server infrastructure. The Site provides account management, license issuance, documentation, and billing for those licenses. We do not operate your server, control your data, or provide managed hosting.

Features available to you depend on your license tier (Free, Pro, or Agency). A comparison is available on the Pricing page.

3. Accounts & Registration

To download ShadowPanel or manage a paid license you must create an account with a valid email address and a secure password. You are responsible for:

Maintaining the confidentiality of your credentials.
All activity that occurs under your account.
Notifying us promptly at support@shadowpanel.de if you suspect unauthorised access.

You must be at least 18 years old to create an account. Accounts are non-transferable without our written consent.

4. License Plans

Upon successful payment, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use ShadowPanel on the number of servers permitted by your plan:

Free — 1 server, core features only, no paid support.
Pro — 1 server, all Pro features (Git Deploy, Docker, automated backups, staging, SEO toolkit, 1-click installer).
Agency — up to 3 servers, all Pro features plus white-label and reseller sub-accounts.

A license key is tied to a single installation ID (INSTALL_ID) and panel domain. Sharing, reselling, or sublicensing keys is prohibited. Operating ShadowPanel on more servers than your plan permits constitutes a material breach of these Terms.

We reserve the right to revoke a license key if we detect misuse, fraud, or a violation of these Terms.

5. Payment & Billing

Paid plans are billed on a monthly recurring basis. All prices are in euros (EUR) and are exclusive of any applicable taxes (VAT, GST, etc.), which will be added at checkout where required by law.

Payments are processed by Stripe. By providing payment details you authorise us to charge your payment method on a recurring basis until you cancel. We do not store raw card data; all payment information is handled by Stripe in accordance with PCI DSS standards.

Your subscription renews automatically on the same day each month. You can cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; your Pro/Agency features remain active until then.

6. Refunds

We offer a 7-day money-back guarantee on first-time purchases of a paid plan. If you are unsatisfied within 7 days of your initial charge, contact support@shadowpanel.de and we will issue a full refund — no questions asked.

Renewals and upgrades are non-refundable except where required by applicable law. Refunds are processed to the original payment method and may take 5–10 business days to appear.

7. Acceptable Use

You agree not to use ShadowPanel or the Site to:

Host content that is illegal under applicable law, including but not limited to CSAM, material that infringes intellectual property rights, or content facilitating cybercrime.
Send unsolicited bulk email (spam) or operate open mail relays.
Launch denial-of-service attacks, port scans, or exploit other systems.
Attempt to reverse-engineer, decompile, or extract any part of the software.
Circumvent, disable, or tamper with license validation mechanisms.
Misrepresent your identity, affiliation, or the origin of content you host.

We may suspend or terminate your account immediately, without notice, if we determine that you have violated this section.

8. Intellectual Property

The ShadowPanel software is proprietary. All rights not expressly granted in these Terms are reserved. You may not copy, modify, sublicense, or distribute the software except as expressly permitted herein.

The ShadowPanel name, logo, and all marketing materials on this Site are proprietary trademarks of ShadowPanel and may not be used without our prior written consent. Your permitted use of the software does not grant any right to use our trademarks.

Any feedback, suggestions, or bug reports you submit to us may be used to improve the product without compensation or attribution.

9. Disclaimers

ShadowPanel software and the Site are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Because ShadowPanel runs on your own server, you are solely responsible for the security, availability, and integrity of the infrastructure on which it is installed. We strongly recommend following the security guidelines in the documentation and keeping your installation up to date.

We do not warrant that the software will be error-free or uninterrupted, that defects will be corrected, or that the software is free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ShadowPanel, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or related to your use of or inability to use the software or the Site, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising out of or related to these Terms shall not exceed the greater of €50 or the total amount you paid us in the 3 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

11. Termination

You may stop using ShadowPanel and close your account at any time. To permanently delete your account and associated data, contact support@shadowpanel.de.

We may suspend or terminate your account and any active licenses if you breach these Terms, fail to pay amounts due, or if we are required to do so by law. Upon termination, your license keys are revoked and your panel will downgrade to Free-tier functionality at the next re-validation cycle.

Sections 7 (Acceptable Use), 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), 13 (Governing Law), and any accrued payment obligations survive termination.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Effective date" at the top of this page and, for material changes, notify registered users by email at least 14 days before the change takes effect.

Your continued use of the Site or the software after the effective date of any update constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict-of-law principles. Any dispute arising from these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Germany.

If you are a consumer located in the European Union, you may also be entitled to bring proceedings in the courts of your country of residence under applicable EU consumer protection law.
